Explanation of Responses:

(1)

The stock options were issued to Mr. Anthony pursuant to a Non-Qualified Stock Option Agreement, dated December 10, 2021. On December 30, 2021, Issuer and Mr. Anthony entered into an amended stock option agreement (the "Amendment") to include the following vesting schedule of the stock options: 119,048 options vested and became exercisable on March 31, 2022; 119,048 options shall become exercisable on June 30, 2022; 119,048 options shall become exercisable on September 30, 2022; and 119,046 options shall become exercisable on December 31, 2022.
