(1)	These shares of common stock were issued to Mr. Foreman and Venture Six, LLC under the terms of the Membership Interest Purchase Agreement dated June 29, 2018 and further detailed within the Company's Current Report filed on Form 8-K dated August 24, 2020.
(2)	Venture Six LLC ("Venture Six") is the holder of 692,113 shares of Edison Nation, Inc.'s common stock. Louis Foreman is the managing member of Venture Six LLC and, as such, has voting and dispositive authority over the Shares held by Venture Six. Louis Foreman disclaims beneficial ownership of the shares reported in this row, except to the extent of his pecuniary interest.
