Explanatory Note
On May 1, 2017, Retail Opportunity Investments Corp. (the “Company”)
filed a Current Report on Form 8-K (the “Original Form 8-K”) with the Securities and Exchange Commission to report
the results of the matters submitted to a vote by the Company’s stockholders at the Company’s 2017 Annual Meeting of
Stockholders (the “Annual Meeting”) held on April 25, 2017. This Form 8-K/A is being filed solely to disclose the Company’s
decision regarding the frequency of future stockholder advisory votes to approve, on an advisory and non-binding basis, the compensation
of the Company’s named executive officers. Except as set forth herein, no other modifications have been made to the Original
Form 8-K.
Item 5.07 Submission of Matters to a Vote of Security Holders.
(d) At the Annual Meeting, the Company’s stockholders
voted on, among other matters, an advisory proposal concerning the frequency of holding future stockholder advisory votes to approve,
on an advisory and non-binding basis, the compensation of the Company’s named executive officers. As previously reported
in the Original Form 8-K, the results of the voting were as follows:

The Company has decided, in light of such vote and other factors,
to hold an advisory stockholder vote to approve, on an advisory and non-binding basis, the compensation of the Company’s
named executive officers annually. The Company intends to continue holding such votes annually until the next required vote on
the frequency of the stockholder advisory vote to approve, on an advisory and non-binding basis, the compensation of the Company’s
named executive officers.
