                 EXETER SMALLER COMPANIES INCOME FUND LIMITED                 

                      ISSUE OF 5,829,999 ORDINARY SHARES                     

The Company announces that it has agreed to issue Ordinary Shares of 10p
nominal for cash to a small number of placees procured by Collins Stewart
Limited at a price of 55p per share.

The new ordinary shares will rank pari passu in all respects with the shares
of each class currently in issue.

Application has been made to the UK Listing Authority and the Channel Islands
Stock Exchange LBG for the Ordinary Shares to be admitted to their respective
Official Lists and to the London Stock Exchange for the Ordinary Shares to be
admitted to trading on the London Stock Exchange's market for listed
securities.  It is expected that such admission will become effective and that
dealings in the Ordinary Shares will commence on 11 October 2001.

Following the issue of 5,829,999 Ordinary Shares the number of issued Ordinary
Shares will be 64,129,999.

After taking into account the issue of shares, the Company and Subsidiary had
gross assets of approximately #31.8 million.
