In  accordance  with sections 198 - 202 of the  Companies
Act  1985 (as amended) the Company was notified yesterday
of  a  change of registered owner in respect of 1,054,200
ordinary  shares,  representing 13.61 per  cent.  of  the
issued  share  capital into the name  of  RBSTB  Nominees
Limited.  3i plc remains as the beneficial owner of these
shares.
