Notification of Director's Interest - L.M. Goodman - Woodvale Estates Limited
(Woodvale)

Notwithstanding the announcements made on behalf of Woodvale in terms of the
Takeover Rules in respect of their market purchases on 1st and 2nd December,
1998, the appropriate announcement to notify the appropriate change in a
Director's Interests also requires to be issued.

I am therefore authorised and instructed to report as follows:-

1.   On 1st December, 1998 Woodvale (a company under the control of Mr. Louis M.
     Goodman through a Goodman Family Trust) purchased 1,041,667 Ordinary
     Shares in the Company at a price of 26p per share.

2.   On 2nd December, 1998 500,000 Ordinary Shares were purchased by Woodvale at
     a price of 26p per share.

These purchases result in Mr. Goodman's interest being increased to 6,564,712
Ordinary Shares representing 39.06% of the issued Ordinary Share capital of the
Company.
