Explanation of Responses:
(1)  Shares owned directly by Merlin Partners. Mr. Hopkins, solely by virtue of his position as the Portfolio Manager of Merlin Partners may be deemed to beneficially own the shares owned directly by Merlin Partners for purposes of Section 16. Mr. Hopkins expressly disclaims beneficial ownership of such shares except to the extent of his pecuniary interest therein.
(2)  Shares owned directly by Catalyst Partners. Mr. Hopkins, solely by virtue of his position as the Portfolio Manager of Catalyst Partners may be deemed to beneficially own the shares owned directly by Catalyst Partners for purposes of Section 16. Mr. Hopkins expressly disclaims beneficial ownership of such shares except to the extent of his pecuniary interest therein.
(3)  Shares owned directly by individuals who are related to Mr. Hopkins. Mr. Hopkins, solely by virtue of his relationship to the holders, may be deemed to beneficially own the shares owned directly by Merlin Partners for purposes of Section 16.
