Item 1.01. Entry into a Material Definitive Agreement

On December 3, 2009 the Company entered into a settlement agreement with Lucas Energy, Inc. to settle the Company’s debt obligations in exchange for working interests in certain wells owned by the Company. This agreement is effective as of November 1, 2009 and releases the Company from the obligation to pay a total of $117,404.95 in exchange for the following working interests:
