Regulation FD Disclosure

On August 12, 2019, Tenet Healthcare Corporation (the “Company”) issued a press release announcing the commencement of a private placement offering of senior secured first lien notes of the Company. Subject to market conditions, the Company expects the offering to consist of an aggregate principal amount of up to $4.2 billion of senior secured first lien notes in tranches maturing in 2026 and 2027. A copy of the press release is attached to this report as Exhibit 99.1 and incorporated herein by reference.
