Explanatory Note

On June 10, 2019, salesforce.com, inc. (the “Company”) and Tableau Software, Inc. (“Tableau”) issued a joint press release (the “Press Release”) and related investor presentation (the “Investor Presentation”) announcing the entry into an Agreement and Plan of Merger, dated June 9, 2019, by and among the Company, Sausalito Acquisition Corp., a wholly owned subsidiary of the Company, and Tableau. The Company filed the Press Release and Investor Presentation on a Current Report on Form 8-K on June 10, 2019.

The Company is filing this Current Report on Form 8-K/A to file an updated version of the Press Release and Investor Presentation, which reflect the following corrections:

 

   

the acquisition is expected to decrease FY20 non-GAAP diluted EPS by approximately ($0.20) to ($0.22), instead of ($0.37) to ($0.39);

 

   

FY20 non-GAAP EPS is now expected to be $2.68 to $2.70, instead of $2.51 to $2.53; and

 

   

these estimates assume a fully diluted share count of approximately 840 million, instead of approximately 900 million.
