( 1)  This amount includes the November 14, 2011 grant of 100,000 Restricted Stock Units which are subject to certain restrictions and acceleration events and vest in ten equal installments, beginning on November 14, 2012 and each November 14, thereafter, the August 25, 2010 grant of 175,000 Restricted Stock Units and 6,000 shares of common stock.
( 2)  The options vest in equal portions on the first, second, third and fourth anniversaries of the grant date subject to certain restrictions and acceleration events.
