Explanatory Note

Piper Jaffray Companies (the "Company") is filing this Current Report on Form 8-K/A to amend the Company's Current Report on Form 8-K filed with the Securities and Exchange Commission on September 16, 2019 (the "Original Filing") to disclose the appointment of Victoria M. Holt to a committee of the Company's board of directors (the "Board"). Ms. Holt's initial election to the Board was disclosed in the Original Filing and, at that time, the Board had not determined the committee to which Ms. Holt would be appointed. Except as expressly stated herein, the Original Filing remains unchanged.


Item 5.02.	Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective as of November 13, 2019, the Board appointed Victoria M. Holt to the Nominating and Governance Committee. As previously reported, Ms. Holt will participate in the Company's non-employee director compensation plan as currently in effect and, in connection therewith, will receive a pro-rated cash retainer for her service on the committee.
