Explanation of Responses:
( 1)	These shares were previously directly held but were contributed to a Grantor Retained Annuity Trust on 4/23/10.
( 2)	On November 15, 2010, the mandatory conversion date, each share of 6 3/4% Mandatory Convertible Preferred Stock was converted into 6.7204 shares of Issuer common stock.
( 3)	Convertible immediately upon issuance at the Reporting Person's election.

Remarks:
Following the reported transactions, the Reporting Person holds options to acquire a total of 2,700,000 shares of MMR Common Stock, 2,325,000 of which are vested and 375,000 of which are unvested. The Reporting Person has transferred the economic value of 900,000 of such options to his former spouse, and thus disclaims beneficial ownership of such options. The Reporting Person also holds 500 shares of 8% Convertible Perpetual Preferred Stock convertible into 73,072 shares of MMR Common Stock.
