Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 7, 2020, J.Jill, Inc. (the “Company”) announced
that it intended to appoint Claire Spofford to serve as President and Chief Executive Officer of the Company, effective as of February
15, 2021, or such other date mutually agreed to by the Company and Ms. Spofford. The Company now announces that Ms. Spofford joined
the Company on February 15, 2021 (the “Start Date”), and that she will also serve as a member of the board of directors
of the Company (the “Board of Directors”) as of the Start Date. The material terms of Ms. Spofford’s employment
agreement, which were disclosed on October 7, 2020, shall become effective on the Start Date.
In connection with Ms. Spofford’s appointment as President
and Chief Executive Officer, Jim Scully’s term as the Company’s Interim Chief Executive Officer shall expire pursuant
to the terms of his agreement. Mr. Scully will continue to be a member of the Company’s Board of Directors.
