Item 8.01 Other Events.

On August 10, 2021 GP Strategies Corporation (the "Company") received notification from the staff of the Securities and Exchange Commission ("SEC") that the previously disclosed investigation has concluded as it relates to the Company. The SEC staff notified the Company that it does not intend to recommend an enforcement action against the Company based on the information the SEC has to date.
