Item 4.01 Changes in Registrant’s Certifying Accountant

Appointment of New Independent Registered Public Accounting Firm

As previously reported on a Current Report on Form 8-K filed on February 26, 2020 by The Estée Lauder Companies Inc. (the “Company”), on February 21, 2020 the Company’s Audit Committee appointed PricewaterhouseCoopers LLP (“PwC”) as the Company’s new independent registered public accounting firm, contingent upon the execution of an engagement letter following completion of PwC’s client acceptance procedures. PwC’s appointment is for the Company’s fiscal year ending June 30, 2021 (fiscal 2021) and related interim periods.

The Company is filing this amendment to the above-referenced Form 8-K to disclose that on May 15, 2020, the PwC engagement letter was executed.

During the Company’s two most recent fiscal years ended June 30, 2019 and June 30, 2018, and for the subsequent interim period through May 15, 2020, neither the Company nor anyone on its behalf consulted PwC regarding any of the matters set forth in Item 304(a)(2)(i) or (ii) of Regulation S-K of the rules and regulations of the U.S. Securities and Exchange Commission.
