(b) On February 10, 2021, each of Dr. Vicki Sato, Mr. Robert Bertolini and Mr. Matthew Emmens notified Bristol-Myers Squibb Company that they will not stand for re-election to the Board of Directors at the 2021 Annual Meeting of Shareholders. The Board also set the number of directors at eleven, effective as of the 2021 Annual Meeting of Shareholders, which is expected to be held on May 4, 2021.
