Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 2, 2024, David R. Warren, Senior Vice President of A. O. Smith Corporation (the “Company”), and President and General Manager of the Company’s North American Water Heating Business Unit, informed the Company that he will retire from the Company effective April 1, 2024. Mr. Warren has nearly 35 years of service with the Company in a variety of roles.
