Item 2.02. Results of Operations and Financial Condition.

On November 10, 2008, Zila, Inc. (“ZILA”) released its Annual Report to Stockholders (the “Annual Report”). The Annual Report included a “Letter To Our Stockholders” from David R. Bethune, our Chairman and Chief Executive Officer. The Letter To Our Stockholders contained information about ZILA’s cash, cash equivalents and marketable securities as of October 31, 2008. A copy of the Letter To Our Stockholders is furnished with this filing as Exhibit 99.1.
