Memorandum to Clients

Dear Valued Client,

Today, Lionbridge announced that it has entered into a definitive agreement with H.I.G. Capital, a leading global private equity firm, to take the company private. For our clients, this change should have no impact on the services we take pride in providing, or upon the investments we make. It simply means that we will now have a new capital partner and we will no longer be a publicly-traded company.
A copy of the recent press release can be found here. This is exciting news for the future of Lionbridge and will help accelerate our next chapter in our journey as the market leader in translation and communications solutions.
Following a thoughtful process, we are very pleased to have found strong and committed partners in H.I.G. Capital. In case you’re unfamiliar, H.I.G. Capital is an investment firm with deep experience in the business services and global IT services sectors.
This new financial structure will give us added flexibility to accelerate our investment in industry-leading solutions that benefit our clients and translators. Our new partner sees tremendous value in Lionbridge’s offerings, and the breadth and strength of our client ecosystem. They believe wholeheartedly in the two defining trends of the decade: digitization and globalization. As importantly, they understand the role our solutions play in enabling our clients’ success in global markets.
You can expect us to continue with our world-class program management, technology and innovation. Your teams will remain the same. Of course, you can continue to expect the high-quality service offerings that Lionbridge is known for - and we will continue that level of performance.
H.I.G. Capital has been very clear that this investment is about growth and empowering us to serve clients - we are as committed to your success as ever.
We expect the transaction to be completed in the first quarter of 2017, subject to shareholder approval and customary regulatory approvals. We will update you with any additional developments throughout the process.
Please let me know if you have any questions about this news.
