(1)	Represents a time-based restricted stock award. Of such time-based restricted stock, 3,802 of the shares will vest on July 15, 2021; 3,802 will vest on July 15, 2022; and 3,802 will vest on July 15, 2023, contingent on the Reporting Person's continued service as a Director on each applicable vesting date.
