Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(d) On November 18, 2019, the Board of Directors of JetBlue Airways Corporation (the "Company") increased the number of members of the Board of Directors to twelve and appointed Vivek Sharma to fill the newly created vacancy.
Mr. Sharma is the founder and Chief Executive Officer of InStride, a strategic enterprise education company. He previously served as Senior Vice President of eCommerce and Digital Guest Experience at The Walt Disney Company. Mr. Sharma is also an adjunct professor of data science at the University of Southern California’s Marshall School of Business, where he teaches business innovation to graduate students.
Our Board of Directors has appointed Mr. Sharma to serve as an independent member of the Audit Committee. There are no arrangements or understandings between Mr. Sharma and any other persons pursuant to which Mr. Sharma was selected as a director and there are no transactions in which Mr. Sharma has an interest requiring disclosure under Item 404(a) of Regulation S-K. Mr. Sharma will be compensated in accordance with the Company's publicly disclosed director compensation policies.
