ITEM 7.01 REGULATION FD DISCLOSURE.

On May 13, 2008, Charter Communications, Inc. (the “Company”) received a letter from The NASDAQ Stock Market, LLC (“NASDAQ”) advising that, as a result of the Company’s Class A common stock closing at $1.00 per share or more for a minimum of 10 consecutive business days, the Company had achieved compliance with the minimum bid price requirement for continued inclusion on the NASDAQ Global Select Market pursuant to NASDAQ Marketplace Rule 4450(a)(5).

A copy of the Company’s press release announcing compliance with the minimum bid price requirement is attached hereto as Exhibit 99.1.
