Dear Fellow Stockholder:

We previously sent you proxy materials for the special meeting of Bucyrus International, Inc. stockholders, to be held on January 20, 2011. At this meeting stockholders will consider a proposal to adopt the merger agreement with Caterpillar Inc. in which Caterpillar would acquire all of the Bucyrus outstanding shares for $92.00 in cash per share. Your Board of Directors unanimously recommends that stockholders vote FOR the proposed merger with Caterpillar.

You should also be aware that the nation’s leading proxy advisory firm, ISS Proxy Advisory Services, recommends that its clients vote “FOR” proposed merger. The analyses and recommendations of ISS are relied upon by hundreds of major institutional investment firms, mutual funds and fiduciaries.

Since the proposed merger requires approval by the affirmative vote of a majority of our outstanding shares, if you do not vote, this will have the same effect as if you voted against the merger. Therefore, your vote is important , no matter how many or how few shares you may own. If you have not already done so, please vote TODAY by telephone, via the Internet, or by signing, dating and returning the enclosed proxy card in the envelope provided.

Very truly yours,

Timothy W. Sullivan

President and Chief Executive Officer
