Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arra ngements of Certain Officers.

On July 12, 2019, BSQUARE Corporation (the “Company”) announced that Peter Biere will resign from his positions as Company’s Chief Financial Officer, Secretary and Treasurer. Mr. Biere has agreed to remain with the Company for a transitional period while the Company identifies and on-boards his replacement. Mr. Biere’s departure is not related to any disagreement with the Company on any matter relating to the Company’s accounting, financial reporting, operations or other business matters.

Item 7.01 Regulation FD Disclosure .

On July 12, 2019, the Company issued a press release announcing Mr. Biere’s departure and that it had no change to its financial guidance for the second quarter of 2019. A copy of the press release is attached as Exhibit 99.1 and incorporated herein by reference.
