Explanation of Responses:
(1)	Of the reported shares, 2,337,527 shares are held of record by Jack Dorsey Remainder LLC, for which the Reporting Person serves as sole manager and for which The Jack Dorsey Remainder Trust #3 u/a/d June 23, 2010, as decanted, is sole member effective August 25, 2020. Trust Company serves as sole administrative Trustee of The Jack Dorsey Remainder Trust #3 u/a/d June 23, 2010, as decanted, but acts at the direction of the Reporting Person, who serves as investment adviser of The Jack Dorsey Remainder Trust #3 u/a/d June 23, 2010, as decanted; and the remainder of the reported shares are held of record by The Jack Dorsey Revocable Trust dated December 8, 2010, for which the Reporting Person serves as a Trustee.
(2)	The option is fully vested and immediately exercisable. One-fourth of the shares subject to the option vested on May 9, 2012 and 1/48th of the shares vested monthly thereafter.
