ITEM 2.03. CREATION OF A DIRECT FINANCIAL OBLIGATION OR AN OBLIGATION UNDER AN OFF-BALANCE SHEET ARRANGEMENT OF A REGISTRANT.
As previously disclosed, Regis Corporation (the “Company”) is a party to an unsecured revolving credit facility (the “Credit Facility”) with a syndicate of financial institutions (the “Lenders”), which provides the Company with a $295 million revolving credit facility with a March 2023 maturity date.
On March 16, 2020, the Company provided notice to the Lenders to borrow approximately $183 million under the Credit Facility.  As of this borrowing, the Company will have fully drawn down the Credit Facility. The Company borrowed under the Credit Facility in order to increase its cash position and preserve financial flexibility in light of current uncertainty resulting from the COVID-19 outbreak. The proceeds from the borrowings will be available to be used for working capital, general corporate or other purposes.
