OF CERTAIN OFFICERS.
On
November 20, 2019, the Company announced on its investor call that Philip Gay, the Company’s Co-Chief Executive Officer,
was resigning from that position effective immediately. Mr. Gay’s resignation from this position was not in connection with
any disagreement with the Company or its board of directors on any matter. Mr. Gay will remain employed by the Company as its
chief business development officer.
