Item 8.01 Other Events.
On May 31,
2017, Appliance Recycling Centers of America, Inc. (the “Company”) received a letter from the staff (the “Staff”)
of The Nasdaq Stock Market (“Nasdaq”) notifying the Company that, because the closing bid price for its Common Stock
had been below $1.00 per share for the previous 30 consecutive business days, it no longer complied with the minimum bid price
requirement for continued listing on The Nasdaq Capital Market.
Nasdaq Marketplace Rule 5550(a)(2)
requires a minimum bid price of $1.00 per share (the “Minimum Bid Price Requirement”). On September 6, 2017, the Staff
has determined that for the last 10 consecutive business days, from August 21, 2017 to September 1, 2017, the closing bid price
of the Company’s common stock has been at $1.00 per share or greater. Accordingly, NASDAQ informed the Company that it has
regained compliance with Listing Rule 5550(a)(2) and it has closed the matter.
