Item 1.01.

Entry into a Material Definitive Agreement.

On May 2, 2017, Station Casinos LLC (“Station”), Red Rock Resorts, Inc., Station Holdco LLC, the guarantor subsidiaries of Station, Deutsche Bank AG Cayman Islands Branch, as administrative agent, and the lenders party to that certain Credit Agreement dated as of June 8, 2016 (the “Credit Agreement”) entered into the Incremental Joinder Agreement No. 2 and Third Amendment to Credit Agreement (the “Amendment”) pursuant to which the Credit Agreement was amended to, among other things, (a) increase the Term A loans by $50.0 million to an aggregate outstanding principal amount of $265.0 million and (b) refinance $64.2 million in aggregate principal amount of Term A loans to reduce the top level margin of 2.75% for LIBOR loans and 1.75% for ABR loans to 2.0% for LIBOR loans and 1.0% for ABR loans.
