Bankrate, Inc. (the Company) is unable to file its Annual Report on Form
10-K
for the
period ended December 31, 2016 (its Annual Report) within the prescribed time period without unreasonable effort or expense due to the circumstances described below.
In connection with finalizing the financial statements for the fiscal year ended December 31, 2016, a calculation error was found in a
valuation report prepared by a third party valuation specialist that was a key input in the valuation of the impairment of finite lived assets in the 2016 fiscal year in our Quizzle business. Additional time is needed to complete the analysis of
this error, and, as a consequence, to complete the finalization of our consolidated financial statements to be included in the Annual Report. In addition, the Company expects to disclose a material weakness in its internal control over financial
reporting in its Annual Report related to its controls over validating reports prepared by third party valuation specialists.
The Company
has issued a Press Release (as defined below) regarding its results for the year ended December 31, 2016. Other than possible
non-cash
changes related to impairment of goodwill or intangible assets, and
amortization expense that could impact our GAAP net income, the Company does not expect the financial results to be included in the Annual Report when filed to reflect any material changes from those included in the Press Release. The Company
expects to file the Annual Report within the fifteen day extension period.

net loss for the fourth quarter of and full year 2016 as $(4.1) million and $(34.1) million, respectively, as compared to net income (loss) of $4.8 million and $(13.3) million in the corresponding 2015 periods.
