Explanatory Note
This Amendment No. 1 to Schedule 13D (the "Amendment No. 1") amends and supplements, as set forth below, the information contained in items 3 and 5 of the Statement on Schedule 13D filed by Derek Williams (the "Reporting Person"), with the United States Securities and Exchange Commission (the" SEC") On February 9, 2016 (the "Schedule 13D"), relating to the common stock, par value $.001 per share of Almost Never Films, Inc., a Nevada corporation (the "Issuer"). Capitalized terms used herein without definition shall have the meaning set forth in the Schedule 13D. Except as amended by this Amendment No. 1, all information contained in the Schedule 13D is, after reasonable inquiry and to the best of the Reporting Persons’ knowledge and belief, complete and correct as of the date of this Amendment No. 1
Item 3. Source and Amount of Funds or Other Considerations
Item 3 of the Schedule 13D is hereby amended to read in its entirety as follows:
As of November 11, 2016, the Reporting Person no longer beneficially owns any shares of common stock.
Item 5. Interest in Securities of the Issuer
Item 5 of the Schedule 13D is hereby amended to read in its entirety as follows:
The Reporting Person owns 0 shares of common stock, par value $.001 per share, which represents 0% of the Issuers outstanding common stock.
The Reporting Person owns 0 shares of the Issuers common stock and therefore, no longer holds any power to vote or the power to dispose of any additional shares of common stock.
The Reporting Person ceased to be a beneficial owner of more than 5% of the common stock on November 11, 2016.
