Trans-Pacific Aerospace
Company, Inc. (“we,” “us” or “ours”) is authorized to issue 4,500,000,000 shares of common
stock. As of the date of this Form 8-A, there are 2,944,402,694 shares of our common stock issued and outstanding. Holders of shares
of common stock are entitled to one vote per share on all matters to be voted upon by the shareholders generally. Shareholders
are entitled to receive such dividends as may be declared from time to time by the board of directors out of funds legally available
therefore, and in the event of liquidation, dissolution or winding up of the company to share ratably in all assets remaining after
payment of liabilities. The holders of shares of common stock have no preemptive, conversion, subscription rights or cumulative
voting rights.
