Item 3.03 Material Modifications to Rights of Securities Holders.

 

On September 8, 2015, Nano Mobile Healthcare, Inc. (formerly known as Vantage mHealthcare, Inc.; the “Company”) filed with the Secretary of State of the State of Delaware a Certificate of Amendment to its Certificate of Incorporation (the “Amendment”). The Amendment was filed solely to change the name of the Company to “Nano Mobile Healthcare, Inc.” The full text of the Amendment is attached hereto as Exhibit 3.1.

The information regarding the Amendment to the Company’s Certificate of Incorporation set forth under Item 3.03 is incorporated into this Item 5.03 by reference.

	1.	The current name of the corporation is Vantage mHealthcare, Inc. (the “Corporation”).
	2.	The Corporation filed its Certificate of Incorporation with the Delaware Secretary of State on January 9, 2015 under the name Vantage mHealthcare, Inc. (the “Certificate”).
	2.	The Certificate of the Corporation is hereby amended as follows:

 

By deleting Article FIRST in its entirety and replacing it with the following:

 

“FIRST: The name of the corporation is Nano Mobile Healthcare, Inc. (the “Corporation”).”

This Certificate of Amendment to the Certificate of Incorporation was duly adopted pursuant to the provisions of Section 242 of the Delaware General Corporation Law.
