Item 8.01 Other Events.
On September 6, 2013, Ivanhoe Energy Inc. (the “Company”)
received a notification letter (the “Notice”) from the Listing Qualifications Department of the NASDAQ Stock Market
(“NASDAQ”) notifying the Company that the minimum bid price per share for its common stock fell below $1.00 for a period
of 30 consecutive business days and that therefore the Company did not meet the minimum bid price requirement set forth in Nasdaq
Listing Rule 5550(a)(2) (the “Minimum Bid Price Rule”).
The Notice stated that the Company would be provided 180 calendar
days, or until March 5, 2014, to regain compliance with the Minimum Bid Price Rule however the Company did not regain compliance
by that time.
NASDAQ has determined that the Company is eligible for an additional
180 calendar day period, or until September 2, 2014, to regain compliance with the Minimum Bid Price Rule. If at any time during
this additional period the closing bid price of the Company’s security is at least $1.00 per share for a minimum of 10 consecutive
business days, NASDAQ will provide written confirmation of compliance and the matter will be closed.
The Company intends to continue to monitor the bid price for its
common stock. If the Company’s common stock does not trade at a level that is likely to regain compliance with the Minimum
Bid Price Rule, the Company’s Board of Directors will consider other options that may be available to achieve compliance.
If compliance cannot be regained by September 2, 2014, NASDAQ will provide written notification that the Company’s securities
will be delisted. At that time, the Company may appeal NASDAQ’s determination to a hearings panel.
