Item 8.01                 Other Events

On April 1, 2010, the Board of Directors approved, subject to approval by our stockholders, an amendment and restatement of our Articles of Incorporation to effect the following changes:

 
1.
Change the Company’s name to “FITT Highway Products, Inc.”; and
 
2.
Increase the total number of shares of Common Stock that the Company is authorized to issue from 100,000,000 to 150,000,000.  The total number of shares that the Company will be authorized to issue as a result of this increase will be 170,000,000, consisting of 150,000,000 shares of Common Stock, each share having a par value of $0.001 per share, and 20,000,000 shares of preferred stock, each share having a par value of $0.001 per share.

These actions were approved on June 1, 2010 by stockholders holding a majority of our issued and outstanding voting securities.

Effective July 19, 2010 the Company has obtained approval from FINRA to change its name to FITT Highway Products, Inc. and the Company’s new trading symbol for its common stock on the OTC Bulletin Board is “FWHY.”
