     SHAREHOLDERS OF NELSON RESOURCES LIMITED APPROVE ITS AMALGAMATION WITH
                         SUBSIDIARY OF LUKOIL OVERSEAS

Today the shareholders of Nelson Resources Limited (Nelson) approved the
amalgamation of Nelson with and into Caspian Resources Investments Limited, a
wholly owned subsidiary of LUKOIL Overseas Holding Ltd.

The amalgamation was approved by more than 97% of the total votes cast by
shareholders voting at the special shareholders meeting held in London.

Once the amalgamation becoming effective, all shares of Nelson will be
cancelled. In lieu of their shares, all holders of Nelson shares will be
entitled to receive a cash payment of US$ 2.19162 per Nelson share.
