Publication of Supplementary Prospectus
On 2 October 2009 Advance Developing Markets Trust plc (the
"Company") published a Circular setting out further details of a
proposed redomicile through a voluntary winding up of the Company and
a rollover of shareholders' interests into a newly established
Guernsey fund, Advance Developing Markets Fund Limited ("ADMF"). On
the same date a Prospectus was also sent to Shareholders in
connection with the proposed issue of Ordinary Shares and
Subscription Shares by ADMF.
Since publication of these documents the Board of the Company has
consulted with certain key Shareholders regarding the proposed date
for the first continuation vote for ADMF which is proposed to be put
to shareholders in ADMF following implementation of the winding-up
and rollover. Under the present articles of association of the
Company, the next continuation vote is scheduled to be proposed at
the Company's annual general meeting to be held in 2013, however
should the Scheme be implemented the Prospectus provides that the
first continuation vote for ADMF will be tabled, "at the annual
general meeting first following the fifth anniversary of Admission,
and at every fifth annual general meeting thereafter".
Following consultation with certain key Shareholders, the Boards of
the Company and ADMF have concluded that the date for the first
continuation vote for ADMF should be 2013 in order to be consistent
with the approach taken by the Company.
ADMF will therefore shortly be publishing a supplementary prospectus
setting out the proposed change.
