Result of Annual General Meeting, Board nomination and Treasury Shares

Results of Annual General Meeting

Tawa announces that all resolutions proposed to shareholders at the Company's Annual General Meeting held on 21 June 2012 at the offices of CCT Venues, 2(nd) floor, Isis Building, 193 Marsh Wall, London E14 9SG were duly passed.

Board nomination

As outlined in the notice of the AGM posted to shareholders on 24 May 2012, Patricia Barbizet, Loic Brivezac, John Hendrickson, Hans Miller and David Vaughan did not seek re--election at the Annual General Meeting. Accordingly their respective terms of office as directors of Tawa plc came to an end at the close of the meeting. The retiring directors will continue to be involved in the affairs of Tawa and the Company has formed an advisory board which Patricia Barbizet, Loic Brivezac, John Hendrickson and Hans Miller will serve on. The Company's senior executives continue in their present roles: Colin Bird as Chairman, Gilles Erulin as Chief Executive Officer and David Vaughan as Chief Operating Officer.

Treasury Shares

Following approval from the board of directors on 21 June 2012 the Company will cancel all of the 2,611,987 shares held in treasury.
