Item 5.07 Submission of Matters to a Vote of Security Holders.

At the Annual General Meeting of the holders of common shares of Viscount Systems Inc. held on May 18, 2010, the shareholders voted on the following matters:

1.	Election of Directors. The following nominees were elected as directors to serve until the next annual general meeting of the shareholders:

	Greg Shen:	For: 5,950,460 (86.51%)
		Withheld: 927,500 (13.49%)
		Broker non-votes/Abstentions: N/A

	Stephen Pineau:	For: 5,932,010 (86.25%)
		Withheld: 945,950 (13.75%)
		Broker non-votes/Abstentions: N/A

2.	Appointment of Auditors. The shareholders approved the appointment of Dale Matheson Carr- Hilton LaBonte LLP, Chartered Accountants as independent auditors of the Company for the year ending December 31, 2010.

	For: 7,754,477 (77.12%) Withheld: 2,300,349 (22.88%)
