Prograde acquisition was expected to close end of 2024. No mention of it. Announced beginning of October and Poof! But instead of the PR on a Saturday, stating Ploch and ATWT parted ways amicably, Lord Farquaad says Board and shareholders?? voted him out lol. I am surprised no one else has integrity to just ask simple questions like, why the BS? What kind of public stock has no investor page for like 4 months, ive never seen that before. Peeps here think this is going somewhere? Based on what, fake numbers?

Getting the share price up?..how about some updates,a news blitz,friendly MMs.
ATWT has a great SS as of now shouldn't be too hard to get this over a penny.
An awareness campaign and once this starts moving people will jump onboard.

Great post synaphai, that makes sense. We have heard that raising the cap was the next step, so they say they are getting current with Nevada and getting prepared for an increase in AS. More authorized will enable shares to be issued to new investors or target companies when needed. Still hard to get a reverse split done right now, but you are correct about getting the share price up. Something to speak with Stitts or Martin about right away.

My group (family and friends, let's be honest) hold 15-20M shares. Still adding to our positions since The Birch Company became part of this.  Needless to say we are very bullish on the future. 

It's currently a million dollar cap company so, yeah, nobody should expect the company to be run like Apple but headroom under the authorized share amount will have to be created either through an increase in authorized or a reverse split. With the stated goal of uplisting to OTCQB, a reverse split would make more sense because one of the requirements is a sustained bid price above a penny. Maybe the share price will get there organically but that'll take a 10x from here and it will definitely have to happen in order to uplist.

Of course Birch Company and the new Management team is not perfect - they were private, and have only been public for about six months or so. To presume that they should act like a Fortune 500 company is unreasonable. They have stated their plans to obtain more capital and grow through acquisition, while improving the fundamentals of the Company in 2025. They have been transparent with these goals. A delay in making a news release, or a faulty page on their website, or other similar misstep is NOT disqualifying. Our group is comprised of several shareholders, with collectively millions of shares, and have been in the deal since the 2020 acquisitions. There is no guarantee, but we want ATWT to succeed, and we are being optimistic - for good reason.

Ploch was forced out by the Board and the shareholders, on the basis of poor performance. Both sides were in agreement. Ploch is out, and the Company has big plans for the next three years. There will be no reverse split, and Management just informed us that the required audit will be underway soon. A Name Change and Symbol Change are targeted for later this year - OF COURSE THESE ARE NOT IMPOSSIBLE, anyone stating such is lying to you.

Advice for anyone, OTCM(OTC markets) has increasingly made crucial facts available to regular investors. You can scan any corporate actions taken by a company by checking their profile on otcmarkets.com and go to the security tab. Scroll down to where it says corporate actions and view each action taken by that company from splits to whatever. In the OTC world, these actions are what matter, not dividends or buybacks. Its what the company does with its words and actions, those are the narratives that matter 2 me. Its all right there, its how you form your opinion that really matters, dont let others do it 4 you.

SEC reporting vs alternate reporting really means squat IMO. You can have audited alternate reporting and still get funding from VC's or even offerings through SEC. They will go SEC to regain corporate actions and drop their shares on us. I lost the rest. of my trust here when Lord Farquaad showed up, touting that janky website. Most likely tied to past funding, so quite a drastic turn here.

Good point. They aren't corporate actions. Having said that I do expect the sec registration and audit. If the company does hope to grow, be transparent and instill investors confidence this is the way. 

Audit and form 10 ain't corp actions FYI.  Ticker change stock splits name change, all of this cannot be touched anymore because of lapse of filings.  They have to hope SEC puts their form 10 into effect and after that, FINRA accepting the new SEC reporting as a squash for the missed several years of alternate reporting.

The first corporate actions I see happening are a PCAOB audit and a form 10-12g. 

Wont be any corporate actions through FINRA here @ all. AS raise would be only option since that is just through state level. Check OTCM profile and you can see last Corp Action was 2013, same year they went dark for several years. They came back to alternate reporting again but the damage was done with FINRA. Ploch thought he could do RS and name change here and was told no, so he bailed. God knows who has real control here but as for now, Ploch through him and his dual ownership @ KVC Dominion with Cox, have control on paper.

There is no other point in having a public stock besides tapping into the public money. I dont care about dilution, its for what and how its done that matters.

I believe that they'll need to create room under the authorized share cap first by either increasing the limit or undergoing a reverse split as there is only around $60k worth of shares left to be issued. Not sure how Ploch's 41% voting rights will affect a vote but maybe finding yes votes won't be an issue with Angus and two other Board members holding a combined 47% of votes and it looks like Josh Ploch's son still works with the company.

It does seem like dilution is a given, otherwise why would they go public and money is needed for planned acquisitions and for the annual audit needed to uplist to OTCQB. I just started looking at the company and one thing I don't like is that the four most recent Google reviews for Birch Co are horrible. I don't expect a handful of reviews to paint a true picture of a company but a company with aggressive expansion plans especially needs to have their current affairs in order first.

I bet we hear ATWT will be submitting a form 10/REG A/S1 to the SEC in the future to tap into the next wave of investors.

Normally companies put out news after a conference,..today would
have been ideal.

I appreciate having another optimistic and knowledgeable voice on this board.  If people put a little effort into their DD they would know everything we are saying is the truth.  Management is extremely transparent and the company is as legit as they come. 

All that's left is having investors catch up. 

Martin and Stitts both stated to our group that the two companies made the deal last year for the exact reason of growing large and fast, and by being public everything became easier - more exposure, easier funding, and growth by acquisition. Obviously these things can be harder for a private company, and the companies are now integrating effectively for 2025. We remain bullish, and hope that the recent uptick will continue.

I think the cold hard truth of missing multiple years of filings a decade ago is the real reason. There wont be a name change or any kind of corporate action like RS etc. They cannot sell the restricted shares until they file some kind of registration. I think why Martin stayed is because you might see Birch rescinded and Martin stick one of his artsy fartsy foo foo projects here. I cant see why Birch would want to be subsidiary to Atwec Technologies, if Birch intends to grow large, there is no synergy there and anyone that understands the story wouldnt trust Birch.

$9M in revenue is year. Looking like easily $20M in 2025.  Market cap is under $1M. Not much more needs to be said.  One of the most attractive buys on the OTC.

Pretty much same response you've already got. RS split was announced by former CEO. The company is self funding,  highly unlikely a RS happens here any time soon. Looks like everything has worked out. 

Great question about a potential reverse split, and we asked Management and CCO Stitts about this possibility, which we strongly oppose. They both informed us that there are no plans to commence a split, due to improved projections and new options for favorable bank financing. Also, apparently FINRA is a nightmare for doing symbol changes and reverse splits, with even the best companies taking several months to get things done. So ... looks like NO SPLIT for now.

Strong presentation by CEO Martin, quick and articulate, and he hit the high points. He confirmed almost $10M in revenues for 2024, and predicts around double that for this year. We are seeing increased volume over the past two weeks, with the 30D average now approaching 700K.

Hoping for a great presentation today. A where we are now followed by a road map to where we are going and how we are getting there. Would not hurt to see some projections thrown in!

It'll be really interesting when people start catching catching on to what we have here with The Birch Co.  It was a long difficult wait but will be well worth it. Will continue to add periodically at these insanely low levels.

Thanks for the link Werbe - did not see that amongst all of the other great content on the site. We spoke with a Company rep earlier, who apologized for the one broken link on the website. He said they are adding new information to the Investors page, as they are finalizing a new plan for funding and continue to integrate the two companies for 2025.

Hey slow down man, we are positive about this deal because there is new activity, real numbers, and a strong business model. This is all new for ATWT, since the Birch Company merger, and VERY different from the prior 3-4 years. We aren't really interested in all that negativity, and it is not BS - read the press release on Earnings that hit the wires today.
