Juniper Networks Targeted by Activist Investor Elliott

Juniper Networks Inc. (JNPR) has been targeted by activist hedge fund Elliott Management Corp., which will seek cost cuts, stock buybacks and other changes at the networking-gear maker.
Elliott, a New York fund run by billionaire Paul Singer, has amassed 6.2 percent of Juniper, according to a statement today. The firm is seeking talks with management and the company’s board.
Shares of Juniper, the second-largest maker of computer-networking equipment, have trailed the Standard & Poor’s 500 Index over the past three years. The Sunnyvale, California-based company also faces a management transition: Chief Executive Officer Shaygan Kheradpir took over just this month, following the retirement of Kevin Johnson.
“Juniper’s new CEO along with its existing management team and board have a unique opportunity to immediately unlock significant value at the company,” Jesse Cohn, portfolio manager at Elliott, said in the statement.
To increase the stock price, Elliott is pushing for additional share repurchases and the payment of a dividend. The fund, which may disclose its Juniper holdings in regulatory filings today, also has proposals to cut expenses and streamline the company’s products. The idea would be to boost the shares to $35 to $40 a share, up as much as 70 percent from their closing price of $23.54 on Jan. 10, the last trading day before Elliott’s announcement.
Opinions Welcome
“Juniper welcomes the opinions and insights of its shareholders and is always open to constructive input toward the goal of enhancing shareholder value,” Cindy Ta, a spokeswoman for the company, said in an e-mailed response.
Juniper shares jumped as much as 9.7 percent to $25.83, its biggest intraday gain in more than a year, after Bloomberg News first reported on the Elliott plan. The stock traded at $25.69 as of 9:39 a.m. in New York.
Juniper could cut $200 million in annual operating costs and buy back $2.5 billion in stock immediately and an additional $1 billion in 2015, Elliott said in a presentation of its proposals. The company should also review its security and switching businesses to streamline products, and “focus on projects and areas where Juniper has clear competencies and the greatest risk-adjusted return on investment,” Elliott said.
Juniper Bid
Activist investors like Elliott typically run campaigns that pressure management and directors to make changes to boost shareholder gains. Elliott’s targeting of Juniper follows a takeover offer last week for another networking company, Riverbed Technology Inc. (RVBD) On Jan. 8, the fund offered to buy Riverbed for $19 a share, valuing the business at $3.08 billion. Elliott said it made the proposal in hopes that it would elicit other acquisition bids.
Elliott also reached a standstill agreement last week with Compuware Corp. (CPWR), which spurned a takeover bid from the firm last year. As part of that accord, Elliott will nominate two directors, giving it more clout at the technology company.
Juniper, which ranks second to Cisco Systems Inc. (CSCO) in the networking market, returned to profit growth in 2013 following two years of declines. The shares were already trading at their highest level in 22 months before Elliott’s announcement, bolstered by options buying last week.

SAN FRANCISCO (MarketWatch) -- Juniper Networks (JNPR) posted a drop in profit Tuesday, but the networking gear company's beat Wall Street's estimates, triggering a share rally before the close of regular trading.
Juniper shares jumped sharply as the session drew to a close after the company's results apparently were made public ahead of schedule. Trading was halted briefly afterward. The stock closed at $21.65, a gain of 7.3%.
The shares were then up more than 1% in after-hours trading.
Juniper reported a first-quarter profit of $16.27 million, or 3 cents a share, compared with a profit of $129.8 million, or 24 cents a share, for the year-earlier period. Revenue was $1.03 billion, down from $1.10 billion. Adjusted income was 16 cents a share.
Analysts were expecting a profit of 13 cents a share, on revenue of $980.8 million, according to a consensus survey by FactSet Research.
For the current quarter, the company said it expects revenue in the range of $1.03 billion to $1.06 billion, and adjusted profit in the range of 15 cents a share to 17 cents a share.

Juniper Networks Reports Preliminary Third Quarter 2011 Financial Results

Revenue: $1,106 million, up 9% from Q3'10 and down 1% from Q2'11

Non-GAAP Net Income Per Share: $0.28 diluted, down 13% from Q3'10 and down 10% from Q2'11
Juniper Networks (NYSE: JNPR), the industry leader in network innovation, today reported preliminary financial results for the three and nine months ended September 30, 2011, and provided its outlook for the three months ending December 31, 2011.
Net revenues for the third quarter of 2011 increased 9% on a year-over-year basis, and decreased 1% sequentially, to $1,105.8 million.
The Company posted GAAP net income of $83.7 million, or $0.16 per diluted share, and non-GAAP net income of $149.8 million, or $0.28 per diluted share, for the third quarter of 2011. Included in the GAAP diluted income per share for the quarter is a $0.02 dilutive impact associated with restructuring activities.
Non-GAAP net income per diluted share decreased 13% compared to the third quarter of 2010 and decreased 10% compared to the second quarter of 2011. The reconciliation between GAAP and non-GAAP results of operations is provided in a table immediately following the Share-Based Compensation Related Payroll Tax by Category table below.

Juniper's operating margin for the third quarter of 2011 decreased to 12.4% on a GAAP basis from 15.3% in the second quarter of 2011, and from 19.3% in the prior year third quarter. Included in the GAAP operating margin is a $16.8 million restructuring charge primarily related to workforce reductions. Non-GAAP operating margin for the third quarter of 2011 decreased to 20.0% from 21.6% in the second quarter of 2011 and from 24.1% in the prior year third quarter.

Other Financial Highlights
Total cash, cash equivalents and investments as of the third quarter of 2011 was $4,130.3 million, compared to $4,220.5 million as of the second quarter of 2011 and $2,698.5 million as of the third quarter of 2010.
Juniper generated net cash from operations for the third quarter of 2011 of $185.2 million, compared to net cash provided by operations of $318.3 million, in the second quarter of 2011, and $131.4 million in the third quarter of 2010.
Days sales outstanding in accounts receivable ("DSO") was 36 days in the third quarter of 2011, compared to 39 days in the prior quarter and 42 days in the third quarter of 2010.
Juniper repurchased approximately 8.9 million shares in the third quarter of 2011, at an average price of $21.47 per share, or approximately $191.0 million dollars.
Capital expenditures, as well as depreciation and amortization of intangible assets expense during the third quarter of 2011, were $71.9 million and $43.3 million, respectively.
Outlook
While the long-term fundamentals driving demand for networking solutions are healthy, the macro environment and the impact of the environment on customer capex purchases continues to be uncertain.
Juniper estimates revenue for the fourth quarter ending December 31, 2011, to be in the range of $1.160 billion to $1.220 billion.
Juniper estimates that its non-GAAP gross margin will be in the range of between 65% and 67% in the fourth quarter.
Juniper estimates that its non-GAAP operating expenses will increase sequentially and be lower as a percentage of revenue in the fourth quarter.
Juniper expects its non-GAAP operating margin for the fourth quarter will be in the range of 21% to 23%.
Juniper estimates that its non-GAAP net income per share will range between $0.32 and $0.36 on a diluted basis, assuming a flat share count and estimated non-GAAP tax rate of 27.5%.
All forward-looking non-GAAP measures exclude estimates for amortization of intangible assets, share-based compensation expenses, acquisition related charges, restructuring charges, litigation settlement charges, gain or loss on equity investments, non-recurring income tax adjustments, valuation allowance on deferred tax assets, and income tax effect of non-GAAP exclusions. Juniper Tumbles After Sales. Forecast Fall Short of Analysts’ Estimates

Juniper Networks Inc. (JNPR) tumbled the most in more than a decade after the second-largest maker of Internet networking equipment reported sales and profit that missed estimates after customers put off buying new gear.
Juniper’s shares plunged $6.51, or 21 percent, to $24.66 at 4 p.m. on the New York Stock Exchange, for the biggest drop since November 2000. The stock has fallen 33 percent this year.
The company is grappling with slower-than-expected spending by some customers, including Internet carriers, which are delaying purchases and waiting for new products amid concerns about economic growth. Juniper’s revenue from service providers rose 18 percent in the second quarter, following a jump of 25 percent in the first quarter. Third-quarter and full-year sales growth also may be less than analysts projected.
“Across the board there was no shortage of concerns and cautionary comments,” said Jason Ader, an analyst at William Blair & Co. in Boston, who rates the stock “outperform.” “It’s a fairly large deterioration in their business.”
Second-quarter profit excluding some costs was 31 cents a share, the Sunnyvale, California-based company said yesterday in a statement. Revenue rose 15 percent to $1.12 billion from $978.3 million a year earlier. Analysts on average had projected profit of 33 cents a share and sales of $1.15 billion, according to data compiled by Bloomberg.
Third-quarter revenue will be $1.07 billion to $1.12 billion, Juniper said. Profit excluding some items will be 26 cents to 30 cents a share. Analysts projected $1.22 billion in sales and 38 cents in profit.
Second Half
“We are cautious about the second half yet very optimistic about our position going into 2012,” Chief Executive Officer Kevin Johnson said on a conference call. “We look to grow faster than the market in 2011 while strengthening the innovation portfolio as we set up for 2012.”
Slower spending in Japan, lower-than-expected demand from carriers and economic concerns were among the reasons for caution, he said.
For the year, the company expects revenue growth of 12 percent to 14 percent, Chief Financial Officer Robyn Denholm said on the call. Before yesterday’s forecast, analysts had expected an increase of 18 percent.
The company forecast adjusted operating margin of 19 percent to 21 percent for the third quarter. Rohit Chopra, an analyst at Wedbush Securities in New York, had estimated operating margin would be about 23 percent.
