Explanation of Responses:
(1)	These shares were issued under the TechTarget, Inc. 2017 Stock Option and Incentive Plan ("2017 Plan") pursuant to an award made in accordance with the 2022 TechTarget, Inc. director compensation program and represent applicable board and committee retainers pro-rated for actual service during 2022. The number of shares was determined by dividing the compensation payable by the closing stock price on January 11, 2022 of the Company's Common Stock as reported by Nasdaq.
(2)	The stock option was granted in accordance with the 2017 Plan and represents a right to purchase 2,500 shares of the Company's Common Stock.
(3)	Each restricted stock unit ("RSU") represents a contingent right to receive one share of the Company's Common Stock upon vesting.
(4)	These RSUs are scheduled to vest as to one-third of the units on each of January 11, 2023, January 11, 2024, and January 11, 2025.
