You can't be serious. A R/S divides your shares by the divisor. Then you have to " HOPE" it holds up given the predictable ongoing losses. Moreover, the company will surely be selling their dilutive shares into it at the higher price, That puts a ceiling on the px. Your;re forgetting the 500,000,000 shares they authorized and you probably approved. Tht's the hammer on any share px rise.
So what you're left with is a R/S reducing your shares, dilution as FCEL sells into the higher price, and losses ongoing.
Reality check needed.
The SPIN MEISTERS ARE AT IT TRYING TO PUT A BOUQUET OF ROSES ON THE R/S . LIKE ALL THEIR SPINS, ITS LAUGHABLE.

“Again you have to look at the market cap being around 223 million a r/s will not have a big impact even if they do a 100- 1 ratio and that would only mean a very small float which will make the stock go ballistic to about 200% increase”.

Why do we have a couple folks on this board trying to put a positive spin on a r/s? When you have no shares left who cares how high the price goes. WTF!!

Just where do you think FCEL and Toyota will be doing this 10 fold increase?.

There are probably 6 more ports world wide Toyota may want to repeat the Tri-generation system but is it profitable for them and for FCEL? Do they all have the renewable fuel (biogas in LAs case) near by?

It is great technology but given there hasn't been a rumor of any more systems being ordered by Toyota or anyone else may be the market isn't there. The CO2 business for bottling plants is another very niche opportunity. If they can scale down the required BOP that would probably be more productive than tri-generation for ports. I hope Jason Few has decent product marketing staff who understand crossing the chasm and other proven theories.

Again you have to look at the market cap being around 223 million a r/s will not have a big impact even if they do a 100- 1 ratio and that would only mean a very small float which will make the stock go ballistic to about 200% increase to then drop back . What most investors here including myself know that the technology agreements with Toyota can 10 fold overnight making the PPS 3 fold in one day can happen anytime depending on the deal agreement.

With around 300 million cash on hand and revenue increasing in the future FCE will not have to dilute the shares as much . Also I’m counting on the 45V credits to move the sector at least 100% with companies like PLUG , BE and others .

All in my opinion

READ post 49511 written Sept 11th, 2022 when the stock was $4.50. Now $.45 down 90%. It's on the top of the page in yellow.
Especially read the last paragraph titled "Opinion".
This is just one of many examples.of why credibility counts.

$.46/sh All that you say hasn't convinced anyone except the " think a likes" . They're numbers are dwindling every day. Whose supporting your views ?
He's forced to R/S in order to sell into the market to raise cash at higher prices. The dilution will erode your value.
It's now 95% below the $30 high reached 3 years ago. And its there for good reason.

the revenues you speak of are eroded by the expenses to produce them. Nothing improves their bottom line. Losses will continue.
You're $.45 closer to ZERO. And the value is negative ( below XERO.).It's overvalued now. There is room for a further drop.

Buy the dip. LMAO.
Like your mentor , financials, technicals and professional analysts are blocked from your thinking. Nothing new here.

"The reverse split will not have a major impact that most you think here"

then why do you suppose Few wants to do a r/s if it will not have much affect on anything?...if the stock will rise anyway, why do it?...

the answer is because Few is not at all certain that what you think will happen will actually happen...and if they do, they may not have as much benefit as you hope...and he doesnt want to regain compliance with nasdaq at 1 or 2 bucks...he wants much more cushion than that...thats why imo, he's going to do a 1-25 r/s...he doesnt want to have do another r/s any time soon...and he knows the stock will drop as soon as its enacted and will drop even more when he starts diluting....if a r/s were to happen today, the outstanding shares drop to about 20 mil...and Few will still have 500 mil autorized shares...

Few can double the o/s by selling 20 mil a/s...and still, the o/s will only be 40 mil...he will sell that to shareholders by saying he is increasing liquidity and fcel's free cash...the problem is, shareholders will be severely diluted...

imo, whatever the value of your shares are now, they are going to be less after the r/s and even less after dilution...there may be some positives along the way that will pop the pps a bit...they will be good trading oppotunities...but not enough reason to hold...

So the stock has performed well only dropping now about a 10% after the announcement of a vote on the RS and has not been able to break the $.40 ATL. I don’t believe FCE deserves bellow 200 million market cap considering more revenues are starting to come in from Toyota. I believe that FCE will beat the numbers in the next financials release and with the 45V getting approved and it seems California is leading the way for other states to follow. It reminds me of Arnold S. when he was Governor he lead the green industry in the first to advance. The reverse split will not have a major impact that most you think here . After the reverse split the stock will
Go back to 500.000 million market cap where it deserves for when the financials are released.

All in my opinion here.

Cummins CEO talks alternative fuel: ‘Hydrogen has to be a part of the answer’
Aug 1 2024
https://www.cnbc.com/2024/08/01/cummins-ceo-talks-alternative-fuel-hydrogen-has-to-be-a-part-of-the-answer.html

Key Points
- In a Thursday interview with CNBC’s Jim Cramer, Cummins CEO Jennifer Rumsey explained why hydrogen plays a role in the company’s strategy.
- “We need hydrogen, hydrogen has to be a part of the answer,” she said. “And the reason is, you’ve got renewable energy that we need to convert into some kind of fuel, transport, and have it available when we need it.”

If they have more cash on hand, why is the 500,000,000 share needed? Explain that!
There was 2 reverse splits prior to this one. Both at 1for 12. You can find that information on line with simple research on Google. After both and years gone by the stock is $.45,sh.
You think its undervalued? The market thinks otherwise.
There's several reasons for this R/S. I believe the company wants a higher stock price and since it cannot achieve that with fundamentals it R/S. This will allow them to issue shares into the market at the higher prices...ie DILUTE SHAREHOLDERS. Without fundamentals to support the price, the stock invariable will resume its downtrend.
You'll be left with fewer shares at lower prices ultimately. That's the result of poor mgmt. CAN'T DELIVER; SO DILUTE!
You call anything other than positive information, negative. Facts and results speak louder than that.
Hogwash is no more than a promoter. He has ignored all the tried and true principals followed by astute investors.
Check the record and the results . 3+years and never got on prediction right!
When the opposite is so right for so long, how can you call that negative. It's plain facts.

Not happening 20 years after IPO as we are already about 30 years in, but very likely to exceed 6,500‰ in less than 10 years from these levels. .we went up 1,400+% in less than 3 months on hype and hope. Profitability and commercialization deal with Exxonmobil worth $10B would shoot this past $50 in less than 1 year. That could happen in 2026 or 27, just 2-3 years out. $.40 low to $4.40 is 1,000%. We hit $29.44 from $2 we can easily hit $29 again with tax cuts, a good market and continued momentum for hydrogen and carbon capture. That would be over 7,500%.

Thanks KJ, I knew the reverse split history but something was telling me the last reverse split proposed was negated denied or canceled. That recap clarified. I was thinking there wasn't a reverse split in 2019. But there wasn't a second reverse split in 2019. So thank you Now I remember. I do know the after that the stock lingered between the price point you stated and a little over $2 for quite some time. A link I posted earlier today or yesterday was when the stock price rebounded mid 2020 from about $1.50, where it dropped after a short seller posted false information. Stock dropped from at or just above $2 to about $1.50. The company rebutted the comments within 24 or 48 hours and the stock went right back to where it was. I insisted the stock was going to pop at least 50% and I bought a whole lot of shares. The stock popped more than 50% within a week once it started the run and I only cashed out 500 shares, less than 10% of the extra shares I bought. I did that about five times in the run up to 29. Then I cashed out a thousand shares at $27. I ultimately ended up selling 2000 shares more than I bought, enough to put it down payment on my house and buy my Harley. Although I started reinvesting or buying back in way too quickly, My hardly held its value and my home appreciated substantially. And now I am almost back to my original share count. One more nice commission in two weeks Should do it, unless we go back over $1 before then. And then I can't really complain.

Hog, keep up the good work.
The last split was on 5/19/2019, a 12:1 reverse split as was the one before that. The stock price may have dropped into 15 cents range before the split. After the split it was 2.24 and the downward pressure continued. Four months later on Sept 6, 2019, FCEL was 0.4050 per share. Then on Dec 27, 2019, due to debt restructuring and settling with Korea, FCEL was $1.42 And upward for another 14 months to $28.00 by Feb 2021.
As now, you were encouraging investors (underlined) to look at the facts and reasoning, making an educated prediction on the near future.
I don't frequent this board much anymore because the negative posters badly affect my blood pressure.
FCEL is so much more valuable than in 2019 and it is a joke that it trades for less than cash on hand with no regard for future cash flows or any of its assets. GLTAL

Plenty of answers we don't have and are likely not to have most of them in advance. Answers we should get shortly: 1) How may shares ATM sold at what price. Hopefully not many. 2) Earnings obviously and what can be expected in a typical Q from Generation. 3) Backlog update 4) FID for the hubs!! By Autumn (3rd week in September) I believe!
Items we won't know until official announcements:
1) status of projects with completion dates, although they could provide estimates of commissioning dates. 2) status of contract negotiations in process, Although they did inform us there were a couple in late stages prior to the UConn contract announcement. I don't think they will do that unless the contract will be signed within weeks because negotiations have concluded! 3) updates on all the MOUs (KEPCO, TuNur, Oando, MHB, Chart Ind, IBM And that might be missing one. 4) 45V although that could be any day or take until after the election, into January.

I can't wait to see the bears try to justify their position when the revenue starts rolling in from South Korea. Especially in Q1 & Q2 when they have a relevant amount of service and license revenue coming in. Let's just assume 6 units per quarter minimum from SK. Although I believe they may try to time it so more units per Q are delivered in Q1-Q4 so Fiscal 2025 impresses. So 6 in Q4 24 and 6 in Q1 26 with the remainder of the 42 in 4 quarters. So 30/4 or 7.5 units (obviously they can't deliver a 1/2 unit, but you get my gist). If they do as I hope it will be 8 in Q2 for a whooping Q with at least EBIDTA+ results. They have 2.8M scheduled service in Q2. If timing allows, they get $15M gen, $10+M S&L, $5+M Adv Tech, And one of the sold projects hits accounts receivable, we could easily top $60M. Book Mark this

Follow up! Maybe I'll look back and maybe I won't, for one of my previous posts. I stated an opinion that FCE Will get at least one more project in Canada, some more significant level of business in South Korea, something else in the United States, and something else in Europe, All likely sometime this calendar year. Canada ding ding ding! $6.8M award for a carbon capture project at the oil sands, And now $5.9M for another project with our electrolyzers. They aren't ramping up production from 4MW to 40MW and expanding their lease for future expansion Just to have something to do and to spend more money. They just cut CapEx for 2025 to manage their money efficiently.

Company’s solid oxide electrolysis technology playing central role

DANBURY, Conn., Aug. 22, 2024 (GLOBE NEWSWIRE) -- FuelCell Energy, Inc., (Nasdaq: FCEL), a global leader in sustainable energy technologies for the delivery of energy and emissions management, announced that a $5.9 million CAD grant from Natural Resources Canada’s Clean Fuels Fund (CFF) will finance two projects utilizing its electrolyzer technology to produce synthetic fuel (power-to-liquid (PtL)) or “eFuel.”

These innovative projects are being carried out with Canadian Nuclear Laboratories (CNL), Expander Energy Inc., Nuclear Promise X, and St. Marys Cement and are focused on producing low-carbon-intensity synthetic diesel fuels using zero-carbon hydrogen that will be produced by leveraging nuclear power, and FuelCell Energy’s Solid Oxide electrolysis platform.

PtL or Synthetic drop-in ready eFuels can be used as a replacement to, or blended into, current fuels such as gasoline, diesel, heating oil and other conventional fuels offering an immediate and substantial impact on emission reduction. Since eFuels are CO2 neutral, they can be an effective decarbonization solution for sectors like transportation, high grade heat applications, or residential and commercial heating where conventional fuels are used today just to name a few examples.

Jason Few, President & CEO of FuelCell Energy said, “These projects align perfectly with our mission to provide advanced, sustainable energy solutions to the world and will demonstrate the differentiated capabilities of our solid oxide platform to leverage nuclear power at 100% electrical efficiency, and the practicality and scalability of our technology.”

He added, “Canada's commitment to innovation and environmental responsibility resonates with our core values, and we are proud to contribute our solid oxide electrolysis technology to these groundbreaking synthetic fuel endeavors."

FuelCell Energy’s solid oxide products offer compelling advantages in synthetic fuel production. Among them is the high electrical efficiency of its electrolysis platform, which can provide more kg’s of hydrogen per kW of nuclear electric power input. This results in more synthetic fuel production with better economics, plus the ability to integrate the electrolysis platform thermally with other parts of the process to increase the efficiency even further.

The Projects

The first of the two CNL projects will evaluate the economic viability of producing synthetic diesel fuels using synthetic gas generated from biomass gasification combined with hydrogen that was produced by solid oxide electrolysis. The project will evaluate the feasibility of suitable sites for the construction of a plant to create 550 barrels per day of synthetic fuel using biomass and hydrogen from solid oxide electrolysis.

A full front-end engineering design will then be performed on a selected site, with the objective of determining the economics of that site and the feasibility of deploying additional plants in the future.

The second project is a demonstration of synthesis gas production through co-electrolysis—a method that combines water and carbon dioxide electrolysis. A 5 kWe electrolyzer provided by Fuel Cell Energy will be deployed and evaluated at a St. Marys cement facility, utilizing carbon dioxide from the cement plant's flue gas emissions.

This project will demonstrate the ability to transform a source of carbon emissions into valuable resources by capturing and repurposing it into synthesis gas (PtL), which can then be used to make a variety of energy and feedstock materials.

FuelCell Energy’s solid oxide technology is designed and manufactured in its facilities in Calgary and Connecticut.

2020 not long before blast off, a short seller released an article making false statements in fuel cell energy dropped I believe 20 to 25%. Few rebutted the claims and the stock rebounded completely within 2 days. The company doesn't have to make a statement about the proposed reverse split as evidenced by the bounce off $0.40. it's ridiculous to have any excitement about having support at 40 cents, But it's more ridiculous for the stock to be at 40 cents. Shorts and bears have had their way for a very long time. A United States election of a dictator that doesn't believe in clean energy will obviously not help matters in the US markets. However, That seems to be a flip of a coin right now, or slightly swaying away from him. Also however, FCEL is doing very well in Europe Asia and Canada. And the vast majority of the world is committed to using our technologies in the foreseeable future, and pushing to scale those technologies. I understand investors are concerned and upset and I am none too happy myself. However, I firmly believe with further patience and time long-term investors will be rewarded very nicely. Just as much so as we were from the end of 2020 through February of 2021, it just might not happen as fast. I don't need millions of dollars to live or survive, most of my investment was for my family anyway. It would be awful nice if it could start happening in the next couple months instead of the next couple years though. Here's that article I referenced about the stock rebounding after the short article. It is simply a matter of time This company is not going bankrupt and they will not be delisted.

"thesis", lol...thats a good one...you arent even using the word correctly...you have basically trashed your personal opinion over the years so that it is immediately disregarded...now you want to use "thesis" in an attempt to add credibility because it sounds so scholarly...SMH...

"Regardless of what happens today tomorrow or Friday,"

so even if your short term opinions are wrong, it doesnt matter because you have such confidence in your long term predictions...but not so much in your short term ones?...

"There's definitely a whole lot going on by September 10th"

what does Sept 10th have to do with anything?...the vote on r/s is Oct 31st...

"Anyone else recall last time they were shot down when requesting a reverse split?"

i cant remember...theres been so many reverse splits in fcel's history...

Video with Paul Fukamoto and Mark Yamauchi clearly stated they have been in discussions about future projects. This was just prior to physical completion of the Port of Long Beach

Based on several things, and it's not "FACT" but I am 100% confident, just like I was we would win the lawsuit against Posco and get a big deal. 1) They hired an IN COUNTRY executive. They didn't do that for 1 contract. 2) They discussed it during the Call, and specifically stated they have X number MW in projects currently in SK in need of Service they are speaking with. 3) SK is aggressively pushing Fuel Cell utilization. 4) They signed a new 50MW MOU over 1 year ago with KEPCO! Thesis based on diligence. I could be wrong, but I highly doubt it.

All false. Just plain Idiocracy. There is no chance they will not R/S. Companies that always lose money lose value and then stock price goes down.

I want to see you what you say when it falls below $.40. Will it then remain a good call ?
He'll then say , If it holds above $.30 its showing strength.
Good calls are not 1 day events. They're based upon trends, patterns, up volume vs down volume, and a host of other indicators.
Get real.

Bounces have been the story with this stock. Every one was a DEADCAT.
The downtrend remains in tact despite a one day dead cat bounce.
I recall twice before when the company reverse split. Twice it fell back after an initial move.
It's really quite simple. If you respect the trend, you should have been out of this when it broke down 3 years ago. If you respect fundamentals, you should have recognized the value of the negative quarterly reports each and every one of them for 2 decades. If you read trusted analysts research you'd see what thorough, unbiased research is.
Here we have HOGWASH, consistently pumping the stock in the face of bad fundamentals, poor technicals, and professional research. The bias one sided information that's provided led any reader to the loss hes got today.
Longs are stuck. There's little way out. Reverse Splits coming. Dilution is coming. Losses are coming.
And ow , watch for layoffs.

We not only held 40 cents but we popped back relatively strong. And on good volume. Based on the big picture, historical volume, patterns, The overall market and the rest of the industry, I have even more confidence in my thesis about the market cap. Not starting a parade today though, We need to stay over 40 cents pre-market intraday and after hours through Friday, And if we close over 50 cents by Friday, That would improve my confidence even more. Regardless of what happens today tomorrow or Friday, There's definitely a whole lot going on by September 10th. Anyone else recall last time they were shot down when requesting a reverse split?
