Ellomay Capital Ltd. (NYSE

letter dated January 24, 2019 from
NYSE American LLC ("NYSE American") indicating that the
Company is back in compliance with the NYSE American audit
committee composition continued listing standards set forth in
Section 803(B)(2)(a) of the NYSE American Company Guide. The NYSE
American letter stated that as a result of the appointment of Dr.
Michael J. Anghel to the Company's
board and audit committee, the Company has resolved the deficiency
set forth in the NYSE American January 4,
2019 notification letter previously reported by the
Company.
