it filed its Annual Report on Form 10-KSB with the Securities and
Exchange Commission ("SEC"). On January 30, 2004, as part of a
reverse merger, the former stockholders of then-privately held
Conversion Services International, Inc. took control of the board
of directors and approximately 84.3% of the outstanding shares of
common stock of LCS Group, Inc. CSI, however, was still required to
file a Form 10-KSB for the fiscal year ended December 31, 2003.
