Item 7.01 |
Regulation FD Disclosure. |
Key Energy Services, Inc. (the Company) will
deliver a presentation to investors at the 2015 Scotia Howard Weil Annual Energy Conference on March 24, 2015 in New Orleans, Louisiana. The Company has previously announced that with its current credit facility maturing in March of 2016,
it has been working with its banks to put a new facility in place prior to the facility becoming a current liability at the end of the first quarter of 2015. As a result of the timing of the negotiation on the terms of the new facility, the
Company will not complete a refinancing by the end of the first quarter of 2015. However, the Company believes that it will be able to put a new financing in place during the second quarter of 2015.
A copy of the slides to be used in connection with the presentation is attached as Exhibit 99.1, and is incorporated herein by reference. The
information contained in this Item 7.01 shall not be deemed filed for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the Exchange Act), or incorporated by reference in any filing under
the Securities Act of 1933, as amended, or the Exchange Act, except as shall be expressly set forth by specific reference in such a filing.

This Current Report on
Form 8-K, the attached presentation materials and the Companys webcast presentation contain forward-looking statements within the meaning of the Private Securities Litigation Reform Act of 1995. Any matters that are not of historic
fact are forward-looking statements. These forward-looking statements are based on the Companys current expectations, estimates and projections about the Company, its industry, its managements beliefs and certain assumptions made by
management, and include statements regarding our expectations regarding our existing credit facility and our ability to enter into a new credit facility during the 2015 second quarter. No assurance can be given that such expectations, estimates or
projections will prove to have been correct. Whenever possible, these forward-looking statements are identified by words such as expects, believes, anticipates and similar phrases.
Readers are cautioned that any such forward-looking statements are not guarantees of future performance and are subject to certain risks,
uncertainties and assumptions that are difficult to predict, including, but not limited to: risks that Key may not be able to refinance its credit facility; risks that Key may not have sufficient liquidity; risks that Key may not be able to maintain
its covenant compliance under its current credit facility or that it may not be able to obtain a waiver from its current lenders in the event of breach of a financial covenant; risks that fundamentals in the U.S. oil and gas markets could further
deteriorate or worsen from the recent market declines; risks relating to compliance with the FCPA and anti-corruption laws, including risks of fines or penalties in the event of a finding of violations of the FCPA or similar laws and risks
related to increased costs in connection with FCPA investigations; risks regarding the impact of the timing or results of the FCPA investigations on Keys operations ability to obtain financing; and other risks affecting Keys ability to
maintain or improve operations.
Because such statements involve risks and uncertainties, the Companys actual results and
performance may differ materially from the results expressed or implied by such forward-looking statements. Given these risks and uncertainties, readers are cautioned not to place undue reliance on such forward-looking statements. Other important
risk factors that may affect the Companys business, results of operations and financial position are discussed in its most recently filed Annual Report on Form 10-K, recent Quarterly Reports on Form 10-Q, recent Current Reports on Form 8-K and
in other Securities and Exchange Commission filings. Unless otherwise required by law, the Company also disclaims any obligation to update its view of any such risks or uncertainties or to announce publicly the result of any revisions to the
forward-looking statements made here. However, readers should review carefully reports and documents that the Company files periodically with the Securities and Exchange Commission.

commentary may contain forward-looking statements within the meaning of the Private Securities Litigation Reform Act of 1995. Any statements as to matters that are not of historic fact are forward-looking statements. These
forward-looking statements are based on Keys current expectations, estimates and projections about Key, its industry, its managements beliefs and certain assumptions made by management, and include statements regarding estimated capital
expenditures, future operational and activity expectations, international growth, and anticipated financial performance for the first quarter and full-year 2015. No assurance can be given that such expectations, estimates or projections will prove
to have been correct. Whenever possible, these forward-looking statements are identified by words such as expects,
believes, anticipates and similar phrases.
Readers and any audience are cautioned that any such forward-looking statements are not guarantees of future performance and are subject to certain risks, uncertainties and assumptions
that are difficult to predict, including, but not limited to: risks that Key will be unable to achieve its financial, capital expenditure and operational projections, including quarterly and annual projections of revenue and/or operating income and
risks that Keys expectations regarding future activity levels, customer demand, and pricing stability may not materialize (whether for Key as a whole or for geographic regions and/or business segments individually); risks that fundamentals in
the U.S. oil and gas markets may not yield anticipated future growth in Keys businesses, or could further deteriorate or worsen from the recent market declines, and/or that Key could experience further unexpected declines in activity and
demand for its rig service, fluid management service, coiled tubing service, and fishing and rental service businesses; risks relating to Keys ability to implement technological developments and enhancements; risks relating to compliance with
environmental, health and safety laws and regulations, as well as actions by governmental and regulatory authorities; risks that Key may not be able to refinance its credit facility as expected; risks that Key may not have sufficient liquidity;
risks that Key may not be able to maintain its covenant compliance on its current credit facility or that it may not be able to obtain a waiver from its current lenders in the event of breach of a financial covenant; risks that fundamentals in the

anti-corruption laws, including risks related to increased costs in connection with FCPA investigations; risks regarding the timing or conclusion of the FCPA investigations and other risks affecting Keys ability to maintain or improve
operations; risks affecting Keys international operations, including risks that Key may not be able to achieve its international growth and mobilization strategy in the foreign countries in which Key operates; risks that Key may be unable to
achieve the benefits expected from acquisition and disposition transactions, and risks associated with integration of the acquired operations into Keys operations; risks, in responding to changing or declining market conditions, that Key may
not be able to reduce, and could even experience increases in, the costs of labor, fuel, equipment and supplies employed and used in Keys businesses; risks relating to changes in the demand for or the price of oil and natural gas; risks that
Key may not be able to execute its capital expenditure program and/or that any such capital expenditure investments, if made, will not generate adequate returns; and other risks affecting Keys ability to maintain or improve operations,
including its ability to maintain prices for services under market pricing pressures, weather risks, and the impact of potential increases in general and administrative expenses.
Because such statements involve risks and uncertainties, many of which are outside of Keys control, Keys
actual results and performance may differ materially from the results expressed or implied by such forward-looking statements. Given these risks and uncertainties, readers are cautioned not to place undue reliance on such forward-looking statements.
Other important risk factors that may affect Keys business, results of operations and financial position are discussed in its most recently filed Annual Report on Form 10-K, recent Quarterly Reports on Form 10-Q, recent Current Reports on Form
8-K and in other Securities and Exchange Commission filings. Unless otherwise required by law, Key also disclaims any obligation to update its view of any such risks or uncertainties or to announce publicly the result of any revisions to the
