Perkins Coie announced today that it has launched
startupPerColator, a user-friendly interactive website that enables
entrepreneurs to generate the legal documents needed to form a
Delaware "C" corporation, free of charge.
Among others, available documents in the startupPerColator
include a Certificate of Incorporation, Bylaws, Action by Written
Consent of the Sole Incorporator, Action by Unanimous Written
Consent in Lieu of the Organizational Meeting of the Board of
Directors and an Action by Written Consent of the Stockholders. To
aid founders in pursuit of funding, startupPerColator also offers
users access to a free customizable term sheet generator that the
firm developed based on National Venture Capital Association (NVCA)
model documents.
