Martin Currie Moorgate Investment Trust plc (the "Company")
Proposed unitisation of the Company
The Board of Martin Currie Moorgate Investment Trust plc announces today that
it intends to seek the approval of shareholders for the voluntary liquidation
of the Company. Following the Company's announcement on 11th June, 1999, the
Board has continued its programme of consultation with its principal
shareholders. Accordingly, the Board has concluded that the Company should be
liquidated, with shareholders being given the opportunity to rollover, in a
tax-efficient manner, either into a choice of two unit trusts managed by
Henderson Investors or the option of receiving cash for their entire holding,
or a combination of both. Shareholders seeking to continue their smaller
company investment exposure can elect for units in the Henderson UK Smaller
Companies Fund managed by John Alexander. The Directors and their advisers
will work closely with Henderson Investors to ensure that the costs of
realisation of the Company's portfolio and of the proposals will be kept to a
minimum.
The Company's major shareholders have indicated that it is their intention to
support the Board's unitisation proposals.
It is expected that details of the proposals and notice of the extraordinary
general meetings to implement the liquidation, will be despatched to
shareholders in mid-August and that the scheme of unitisation should be
completed, allowing shareholders to receive either units in the ongoing
vehicles and/or cash, before the end of September 1999.
