The Board of The Miller Group Ltd (Miller), one of the UK's largest, privately-
owned, contracting, housing and property companies, announces that it has been
in discussions with the Independent Directors of City Site Estates plc (City
Site) since Friday, 27 November, 1998, regarding the possibility of making a
recommended cash offer for the ordinary shares of City Site.  Such an offer, if
made, would be at a price of 35p per ordinary share, representing a premium of
circa 35% to the current offer of 26p per ordinary share from Woodvale Estates
Ltd. 

A number of conditions are still to be satisfied before Miller is in a position
to make an offer.  These conditions include, principally, confirmation from
Woodvale Estates Ltd (a private company ultimately owned by a Goodman Family
Trust) and other Goodman related interests that, subject to the offer by
Woodvale Estates Ltd lapsing, they will accept an offer of 35p from Miller in
respect of their entire shareholdings in City Site.  They also include the
provision of additional information, on behalf of the Board of City Site. A
further announcement will be made in due course.
